Walsin Technology Acquires Mitsubishi Materials' Passive-component Affiliates

Taipei, Feb. 7, 2006 (CENS)--Walsin Technology Corp. recently announced its acquisitions of Mitsubishi Materials-held Kamaya Electric Co., Ltd. And MMC Electronics Taiwan Co., Ltd., which helped the company to become Taiwan' s second biggest supplier of chip resistors.

The Taiwanese supplier acquired an 85.84% stake in Kamaya as well as the tangible assets and inventories of MMC Electronics' ceramic-capacitor business. The company is the first Taiwanese passive-electronics component supplier to acquire its Japanese rivals.

The acquisitions are estimated to cost Walsin around NT$200 million (US$6.2 million at US$1:NT$32) based on Kamaya' s net value of 649 million yen (US$5.5 million) and MMC Electronics' capitalization of NT$228 million (US$7.1 million).

Walsin estimated that the two deals would more than double its monthly revenue to NT$360 million (US$11.2 million) from the current NT$150 million (US$4.6 million), making it Taiwan' s No. 2 supplier of chip resistors, next to only Yageo Corp.

Kamaya has snatched up 7% of the world market for chip resistors, and its revenue for the April-December 2005 period was equal to NT$1.9 billion (US$61 million). In the meantime, MMC Electronics had revenue of NT$167 million (US$5.2 million).

Walsin' s executives pointed out that the acquisitions would help the company enter the Japanese market, since the two affiliates' customers are mostly Japanese enterprises. They added that their company would also enhance cooperation ties with Mitsubishi in the near future through these two deals.

Taiwanese industry watchers pointed out that the acquisitions suggest acquisition deals in the Taiwan industry are becoming rare now, after years of acquisitions launched by Yageo and Walsin.

Over past several years, Walsin has expanded by acquiring and entering into alliances with other manufacturers. Not long ago, the company acquired Pan Overseas Electronic Co., Ltd. And one other supplier of monolithic ceramic chip capacitors (MLCCs).

Walsin planned to spend NT$1.5-1.7 billion (US$46.8-53 million) to expand its output capacity of 0201-type MLCCs, suggesting it is optimistic about the business of producing the micro-size capacitors. For a long time, Japanese suppliers have dominated the market, leaving manufacturing of the outdated 0402-type and 0603-type wares to Taiwanese suppliers.

Yago estimated its 0201-capacitor shipments to triple this year from last year, exceeding the shipments of rival Japanese makers, thanks to Apple' s orders for capacitors for its iPod music players.

Taiwanese industry watchers pointed out that the increased Taiwanese production of 0201 capacitors suggests that the production base has shifted to Taiwan from Japan.
